  1. Acceptance of Terms

Lüthi Digital Solutions (hereinafter "TradeStats", "We", "Us", or "Our"), located at Weiherstrasse 35, 4416 Bubendorf, Switzerland, provides the TradeStats trading journal software and related services (collectively, the "Services").

By accessing, registering for, or using the Services, you ("You" or "User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must strictly comply by stopping the use of the Services immediately.

We reserve the right to update these Terms at any time. Significant changes will be communicated via email or a notification on the dashboard. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

  1. Description of Services & Access

TradeStats provides a web-based analytics and journaling platform for financial trading.

  • Access: You are responsible for providing all equipment (computer, internet) necessary to access the Services.

  • Modifications: We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, to improve performance, add features, or comply with laws.

  1. User Accounts & Security

To use the Services, you must register an account.

  • Accuracy: You agree to provide true, accurate, and current information.

  • Security: You are responsible for maintaining the confidentiality of your login credentials. You accept responsibility for all activities that occur under your account.

  • No Account Sharing: Accounts are for individual use only. Sharing your login details with other individuals is strictly prohibited and constitutes a material breach of these Terms.

  1. Subscription, Billing, and Free Trials

  • 4.1 Free Trial: We may offer a free trial period (e.g., 14 days) for new users. You are required to provide payment information to start the trial. You will not be charged during the trial period.

  • 4.2 Automatic Conversion to Paid Subscription: If you do not cancel your subscription before the free trial period ends, your account will automatically convert to a paid subscription, and the payment method provided will be charged the applicable subscription fee.

  • 4.3 Billing: Services are billed in advance on a recurring subscription basis (monthly or annually).

  • 4.4 Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless canceled by you prior to the renewal date.

  • 4.5 Price Changes: We reserve the right to adjust pricing for our Services. Any price changes will take effect following notice to you, applicable to the next billing cycle.

  1. Intellectual Property Rights

  • Our IP: All software, code, interfaces, graphics, designs, and trademarks available on the Services are the intellectual property of Lüthi Digital Solutions or its licensors and are protected by applicable copyright and trademark laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your personal, internal use.

  • Your IP: You retain ownership of the data (trade history, notes) you upload ("User Content"). However, by uploading User Content, you grant us a worldwide, royalty-free license to host, store, and process this data to provide the Services to you.

  1. Prohibited Conduct

You agree not to:

  1. Reverse engineer, decompile, or attempt to extract the source code of the software.

  2. Use the Services for any illegal purpose or in violation of any local, state, or international law.

  3. Transmit any viruses, malware, or destructive code.

  4. Scrape or collect data from the Services via automated means.

  1. NO FINANCIAL ADVICE (Disclaimer)

THE SERVICES ARE FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY.

TradeStats is a software provider, not a financial advisor, broker, or registered investment analyst. Nothing on the site or in the software constitutes financial, investment, legal, or tax advice. We do not recommend or endorse any specific financial instruments, trading strategies, or brokerages.

  1. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LÜTHI DIGITAL SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Swiss Law Exception: Nothing in these Terms excludes or limits our liability for:

  1. Intent ("Absicht") or gross negligence ("grobe Fahrlässigkeit") pursuant to Art. 100 of the Swiss Code of Obligations;

  2. Death or personal injury caused by our negligence; or

  3. Any other liability which cannot be excluded by mandatory law.

  1. Indemnification

You agree to indemnify, defend, and hold harmless Lüthi Digital Solutions and its officers, directors, and employees from any claims, liabilities, damages, and expenses (including legal fees) arising out of your use of the Services or your violation of these Terms.

  1. RISK WARNING

TRADING IN FINANCIAL MARKETS INVOLVES A SUBSTANTIAL RISK OF LOSS. By using TradeStats, you acknowledge that you are solely responsible for your investment decisions. Lüthi Digital Solutions accepts no liability whatsoever for any financial losses resulting from your trading activities.

  1. Refunds, Cancellation & Right of Withdrawal

  • 12.1 Cancellation: You may cancel your subscription (or free trial) at any time via your account settings.

    • During Free Trial: If you cancel before the trial ends, you will not be charged.

    • During Paid Subscription: Cancellation takes effect at the end of the current billing cycle. You retain access until that date.

  • 12.2 Waiver of Right of Withdrawal (Paid Subscriptions): Since you are provided with a free trial period to evaluate the Services, you acknowledge that once the paid subscription begins (after the trial ends), the contract has been fully executed regarding the grant of access, and you thereby waive any further right of withdrawal.

  • 12.3 No Refund Policy: Once a payment is processed (after the trial expires), all sales are final. We do not offer refunds for failure to cancel the trial in time, partial months, or unused services. It is your sole responsibility to manage your subscription status.

  1. Governing Law and Jurisdiction

  • Governing Law: These Terms are governed by the substantive laws of Switzerland, excluding its conflict of law principles and the UN Convention on Contracts for the International Sale of Goods (CISG).

  • Jurisdiction: The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms is Bubendorf, Canton of Basel-Landschaft, Switzerland, subject to mandatory places of jurisdiction for consumers where applicable.

  1. EU Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr/. We are not obliged and generally unwilling to participate in dispute resolution proceedings before a consumer arbitration board.

  1. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
